貿易契約書
Contract

本契約由____(甲公司)---總公司設於___(地址)(以下簡稱賣方)與___(乙公司) --總公司設於___(地址)(以下簡稱買方)於____(日期)訂定，雙方同意按下列條件成交所提貨物:
This contract is made ___(日期,ex:this 5th day of June 2021) by ____(甲公司) (hereinafter referred to as "SELLERS"), a corporation having their principal office at ____(地址), who agree to sell,and ____(乙公司) (hereinafter referred to as "BUYERS"), a corporation having their principal office at ____(地址), who agree to buy the following goods on the terms and conditions as below:

5.Packing:One dozen to a box, 10 boxes to a carton

6.運輸標誌=裝船嘜頭(Mark) :簡單的識別圖像方便買家辨識，通常會標示出客戶名稱縮寫、訂單號、本件包裝編號和、總數、生產批號等。
6.SHIPPING MARK

7.裝船:
____(日期)前裝運，但以可接妥的信用狀於___(日期)前開到賣方為條件，容許分批裝運及轉運。
7.SHIPMENT:
To be shipped on or before ___(日期), and partial shipments allowed, transshipment allowed.

8.付款:
憑一流銀行的不可撤銷信用狀付款，信用狀以賣方為受益人並照貨物金額百分之百開發。
8.PAYMENT:
By a prime bankers' irrevocable sight L/C in SELLERS' favor, for 100% value of goods.

9.保險:
賣方應洽保水險，投保水漬險並加保遺失竊盜險及兵險，保險金額按發票金額的110%投保並須規定如有索賠應在___(地名及付款方式，例如:在紐約以美金支付)。
9.INSURANCE:
SELLERS shall arrange marine insurance covering W.A plus TPND and war sick for 110% of the invoice value and provide for claim, if any, payable in New York in US currency.

10.檢驗:
貨物須經一家獨立之公正行檢驗，其出具品質及數量檢驗證明應為最後認定標準。
10.INSPECTION:
Goods is to be inspected by an independent inspector and whose certificate inspection of quality and quantity is to be final.

11.運費、保險費、幣值等的變動
(1)茲同意本契約內所訂價格全是以目前國際貨幣基本平價____(匯率，例如:台幣33元兌換美金一元)為準。倘這項匯率在押匯時有任何變動，則價格應根據這項變動比照調整及清償，俾賣方的台幣收入不因而減少。
(2)契約中所列價格完全是以目前運費率及(或)兵險和水險保險費率為準。裝運時運費率及(或)保險費率如有增加，應歸由買方負擔。
(3)交貨前如原料及零件成本增加甚鉅，賣方保留調整契約中所列價格的權利。
11.FLUCTUATIONS OF FREIGHT, INSURANCE PREMIUM, CURRENCY, ETC.:
(1)It is agreed that the prices, mentioned herein are all based upon the present IMF parity rate of NT$33 to one US dollar. In case, there is any change in such rate at the time of negotiating drafts, the prices shall be adjusted and set according to the corresponding change so as not to decrease SELLERS' proceeds in NT Dollars.
(2)The prices mentioned herein are all based upon the current rate of freight and/or war marine insurance premium. Any increase in freight and/or insurance premium rate at the time of shipment shall be for BUYERS' risks and account.
(3)SELLERS reserve the right to adjust the prices mentioned herein, if prior to delivery there is any substantial increase in the cost of raw material or component parts.

12.稅捐等:
對於貨物或包件、原料或履行契約有關活動所課徵的稅捐或規費，如由產地國課徵，歸由賣方負擔；如由目的國課徵，則由買方負擔。
12.TAXES AND DUTIES,ETC.:
Any duties, taxes or leaves imposed upon the goods, or any packages , material or activities involved in the performance of the contract shall be for account of origin, and for account of BUYERS if imposed by the country of destination.

13.索賠:
對所裝貨物如有索賠情形發生，則請求索賠的通知必須於貨物抵達卸貨港後即以書面提示賣方，並且必須給賣方有調查的機會，倘若運送船隻到達卸貨港後21天內沒有提示這項預先的書面通知以及提供調查機會，則索賠應不予受理，在任何情況下，賣方對於使用貨物引起的損害，或對於間接或特別的損害，超過發票金額的款項均不負責。
13.CLAIMS:
In the event of any claim arising in respect of any shipment, notice of intention to claim should be given in writing to SELLERS promptly after arrival of the goods at the port of discharge and opportunity must be given to SELLERS for investigation.
Failing to give such prior written notification and opportunity of investigation within 21 days after the arrival of the carrying vessel at the port of discharge, no claim shall be entertained. In any event, SELLERS shall not be responsible for damages, or for any amount in excess of the invoice value of the defective goods.

14.不可抗力:
因戰爭、封鎖、革命、暴動、民變、民眾騷擾、動員、罷工、封鎖、天災、惡劣氣候、疫病或其他傳染病，貨物因火災或水災而受損壞，在交貨港因暴風雨或颱風而阻礙船，或在裝船前任何其他賣方所無法控制的事故發生，以致貨物的全部或一部份未能交貨，這未交貨部分的契約應予取消。然而，在裝運期未截止前，如貨物業經備妥待建，但因前述事故之一發生而致未能裝運，則買方於接到賣方請求時，應以修改信用狀方式或其他方式延長裝運期限。
14.FORCE MAJEURE:
Non-delivery of all or any part of the merchandise caused by war, blockage, revolution, insurrection, civil commotions, riots, mobilization, strikes, lockouts, Act of God, severe weather, plague or other epidemic destruction of goods by fire or flood, obstruction of loading by storm or typhoon at the port of delivery, or any other cause beyond SELLERS' control before shipment shall operate as a cancellation of the sale to the extent of such non-delivery. However, in case the merchandise has been prepared and ready for shipment before shipment deadline but the shipment could not be effected due to any of the above mentioned causes, BUYERS shall extend the shipping deadline by means of amending relevant L/C or otherwise, upon the result of SELLERS.

15.仲裁:
有關本契約買賣雙方間所引起的任何糾紛、爭議或歧見，可付諸仲裁，這項仲裁應於____(國家地點)舉行，並遵照___(國家)仲裁法規處理及進行。
15.ARBITRATION:
Any disputes, controversies, or differences which may arise between the parties, out of, or in relation to or in connection with this contract may be referred  to arbitration. Such arbitration shall take place in ____(國家地點), and shall be held and shall proceed in accordance with the ___(國家) arbitration  regulations.

16.適用法:
本契約的成立、效力、解釋以及履行，均受___(國家)法律管轄，本契約書2份業經雙方法定代理人訂定，於前文日期簽署。
16.PROPER LAW:
The information, validity, construction and the performance or this contract are governed by the laws of ___(國家).  IN WITNESS WHEREOF, the parties have executed this contract in duplicate by their duly authorized representative as on the date first above written.
